Recon 360 Automotive LLC ("Recon 360") handles all billing and payment collection on behalf of Network Partners. When a dealership or customer ("Client") posts a job and a Network Partner accepts it, Recon 360 invoices and collects payment directly from the Client.
Revenue Split: Recon 360 Automotive LLC retains 15% of gross job revenue as a platform, dispatch, and administrative fee. The Network Partner receives 85% of the gross job rate agreed upon at time of job acceptance.
Example: If a job is posted at $200 and a Network Partner accepts, Recon 360 retains $30 (15%) and disburses $170 (85%) to the Network Partner upon verified completion.
Payment Timing: Disbursements are processed within 3–7 business days following verified job completion and Client approval. Recon 360 reserves the right to withhold payment pending resolution of any dispute, quality complaint, or policy investigation.
Chargebacks & Disputes: In the event of a Client chargeback or payment dispute, Recon 360 reserves the right to deduct the disputed amount from future disbursements pending resolution.
No Direct Billing: Network Partners are expressly prohibited from billing Clients directly for any work accepted through the Recon 360 platform. All payment must flow through Recon 360 Automotive LLC. Violation of this policy may result in immediate removal from the network and forfeiture of pending payments.
Independent Contractor Relationship: Network Partners are engaged by Recon 360 Automotive LLC solely as independent contractors. Nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency relationship of any kind.
Tax Responsibilities: As a 1099 independent contractor, you are solely responsible for all federal, state, and local taxes on income received through the Recon 360 platform, including self-employment tax. Recon 360 will not withhold income taxes, Social Security, or Medicare from your disbursements.
1099-NEC Reporting: Recon 360 Automotive LLC will issue IRS Form 1099-NEC to all Network Partners who receive $600 or more in disbursements during a calendar year, as required by federal law. A completed W-9 is required prior to receiving any payment.
Benefits: Network Partners are not entitled to any employee benefits, including but not limited to health insurance, retirement plans, paid time off, workers' compensation, or unemployment insurance through Recon 360 Automotive LLC.
Tools & Equipment: Network Partners are responsible for providing their own tools, equipment, supplies, and transportation necessary to perform services. Recon 360 does not provide equipment or reimburse supply costs unless explicitly agreed in writing.
Control: Network Partners retain the right to accept or reject any job posted on the platform. Recon 360 does not control the means or manner by which Network Partners perform their services, subject to quality and conduct standards outlined in this Agreement.
1. Professional Appearance
Network Partners must present themselves professionally at all times when performing services at a client location. Clean, appropriate work attire is required. Clothing with offensive graphics, language, or imagery is strictly prohibited. Recon 360 branded attire is encouraged.
2. Substance Use Policy
Network Partners are strictly prohibited from arriving at any client location under the influence of alcohol, illegal substances, or any controlled substance that impairs judgment or ability to perform work safely. Any violation of this policy will result in immediate and permanent removal from the Recon 360 network, forfeiture of pending payments, and may be reported to applicable authorities.
3. Language & Communication
Network Partners must maintain professional, respectful communication at all times with dealership staff, lot managers, and any client personnel. The use of profane, offensive, threatening, or derogatory language is strictly prohibited. All communications related to a job must be conducted through the Recon 360 platform where possible.
4. Harassment & Discrimination
Recon 360 maintains a zero-tolerance policy for any form of harassment, discrimination, or hostile conduct. This includes but is not limited to harassment based on race, gender, age, religion, sexual orientation, national origin, disability, or any other protected characteristic. Any substantiated complaint of harassment or discrimination will result in immediate removal from the network.
5. Client Property & Vehicles
Network Partners are responsible for exercising the highest degree of care when handling client vehicles and property. Any damage caused during a job must be reported immediately through the Recon 360 platform. Misrepresentation, concealment of damage, or fraud will result in immediate removal and may result in legal action.
6. Quality Standards
Network Partners are expected to perform all work to the highest professional standard consistent with industry norms. Substandard work, incomplete jobs, or work that requires re-do at client expense may result in chargeback of disbursements, suspension, or removal from the network at Recon 360's sole discretion.
7. Punctuality & Reliability
Once a job is accepted, Network Partners are expected to arrive at the agreed location in a timely manner and complete the work within a reasonable timeframe. Repeated no-shows, late arrivals, or abandoned jobs without notice will result in suspension or removal from the network.
8. Confidentiality
Network Partners may not disclose, share, or use for any purpose outside of service delivery any client information, vehicle information, dealership data, or operational details obtained through the Recon 360 platform.
Recon 360 Automotive LLC reserves the right to suspend or permanently remove any Network Partner from the platform at its sole discretion. The following are non-exhaustive grounds for immediate removal:
Upon removal, any pending disbursements may be withheld pending review of the circumstances leading to removal. Recon 360 Automotive LLC shall not be liable for any lost income resulting from suspension or removal.
This Agreement is governed by the laws of the State of Michigan. Any disputes arising under this Agreement shall be resolved through binding arbitration in Michigan. Recon 360 Automotive LLC reserves the right to amend these terms with 30 days written notice to active Network Partners.
